1. Eligibility & Account Registration

1. You must be at least 18 years old and able to form a binding contract to use the Service.
2. To access subscription features, you must create an account, provide accurate information, keep your credentials secure, and promptly update any changes.
3. You are responsible for all activity that occurs under your account. Notify us immediately of any unauthorized use.

2. Description of the Service

The Service is a software‑as‑a‑service platform that leverages large‑language‑model technology to generate draft performance‑review text based on information you supply. The Service is designed to help you save time preparing self‑assessments and peer or manager reviews.

3. Subscription, Fees & Payment

1. Access to the Service requires an active subscription.
2. Payments are processed through Stripe, Inc. By subscribing, you authorize recurring monthly charges to your selected payment method until you cancel.
3. Your subscription renews automatically at the then‑current rate unless you cancel before the next billing cycle. You may cancel at any time from your account dashboard; cancellation takes effect at the end of the current paid term.
4. Fees are non‑refundable except where required by law or expressly stated otherwise.

4. License Grant & Use Rights

Subject to your ongoing compliance with these Terms, we grant you a limited, non‑exclusive, non‑transferable, revocable license to access and use the Service for your internal, personal, or business purposes.

5. User Responsibilities

• You are solely responsible for the accuracy, legality, and completeness of any data you provide.
• You must review, edit, and verify all AI‑generated content before using or submitting it to any third party.
• You acknowledge that workplace promotion, retention, or disciplinary decisions are influenced by numerous factors beyond our control; you bear full responsibility for any employment outcomes.

6. Generated Content & Ownership

1. As between you and the Company, and subject to Section 7, you own the output that the Service generates based on your prompts, to the extent such output is legally protectable.
2. You grant the Company a worldwide, royalty‑free license to use your input data and generated output as necessary to operate, improve, and provide the Service, in accordance with our Privacy Policy.

7. AI & Third‑Party Services Disclaimer

The Service relies on third‑party AI models and payment processors (Stripe). We do not control and are not responsible for their services, uptime, or outputs.

8. No Employment or Professional Advice

The Service and generated content are for informational purposes only and do not constitute legal, HR, or professional advice. You should consult qualified professionals before relying on any content.

9. Prohibited Conduct

• Violate any applicable laws or regulations;
• Upload or transmit malicious code;
• Reverse‑engineer, decompile, or otherwise attempt to derive source code from the Service;
• Use the Service to generate or disseminate content that is defamatory, discriminatory, or infringing;
• Resell, sublicense, or otherwise commercialize the Service without our prior written consent.

10. Termination

1. We may suspend or terminate your access immediately, without notice, if you violate these Terms or if required by law.
2. Upon termination, your right to use the Service ceases, but Sections 6–15 survive.

11. Modifications to the Service & Terms

We may modify or discontinue any part of the Service at any time. We may also update these Terms by posting a revised version and updating the “Last updated” date. Continued use after changes become effective constitutes acceptance.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT GUARANTEE THE ACCURACY OR RELIABILITY OF AI‑GENERATED CONTENT, NOR DO WE WARRANT THAT USE OF THE SERVICE WILL RESULT IN EMPLOYMENT PROMOTION, RETENTION, OR ANY SPECIFIC OUTCOME.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) TOTAL FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) USD $100.

14. Indemnification

You agree to defend, indemnify, and hold harmless the Company and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your content, or your breach of these Terms.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Oregon, USA, without regard to conflict‑of‑law principles. Any dispute shall be resolved exclusively in the state or federal courts located in Clackamas County, Oregon, and you consent to such jurisdiction and venue.

16. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force.

17. Entire Agreement

These Terms, together with any order forms and policies referenced herein, constitute the entire agreement between you and the Company regarding the Service and supersede all prior agreements.
